I-LEAD REALTY GROUP TERMS & CONDITIONS

Effective: September 5, 2025

Welcome and thank you for your interest in i-Lead Realty Group, LLC and its real estate affiliated brands and businesses (listed below), including the websites of ileadrealty.com, its subdomains, and the websites of its real estate brands and businesses (collectively, the "Sites"). These Terms & Conditions ("Terms") constitute a legally binding agreement between you and i-Lead Realty Group, or its affiliated brands. Within these Terms, i-Lead Realty Group, is a real estate brokerage operating as a team under the sponsorship of eXp Realty, together with its affiliated brands are referred to collectively as "i-Lead" "us", "we", or "our." These Terms govern your use of the Sites, including without limitation any subdomains of the Sites, and the services made available through the Sites, including without limitation the software, tools, materials, and information (collectively, the "Service"). i-Lead real estate agent services ("Real Estate Services") are independently governed by the contract(s) that are executed by you and eXp Realty, our Sponsoring Broker.

We operate the following affiliated real estate related businesses and brands, any use of any of the Services provided by the following affiliated brands is subject to these Terms of Use:

• (a) i-Lead Realty Group;
• (b) ListitEZ;
• (c) AgentWisely;
• (d) StartSellingTexas;
• (e) i-Lead Productions;
• (f) i-Lead Legends;
• (g) SellCashTx;
• (h) SellCashTexas.

Services offered by each of these brands may be subject to additional terms of use as available on their respective websites or otherwise.

1. Acceptance of Terms

By accessing the Sites or using the Service, you: (a) acknowledge that you have read and understood these Terms; (b) accept and agree to be bound by these Terms; and (c) acknowledge that these Terms constitute a binding contract between i-Lead and you. The Sites and Service are not intended for use by individuals under the age of 18. By using the Sites or Service, you represent and warrant that you are at least 18 years of age, or over the age of majority in your jurisdiction and able to enter into these Terms. By using the Sites and Service, you represent that you will comply with these Terms and all applicable laws.

IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, YOU MUST LEAVE THE SITES AND CEASE USING THE SERVICE IMMEDIATELY. YOUR FURTHER USE OF THE SITES AND/OR SERVICE WILL CONSTITUTE ACCEPTANCE OF THESE TERMS.

2. Account Registration

To use the Service, you may register or create a user account (your "Account") by providing all required data or information in a complete and truthful manner. You may also use the Service without registering or creating an Account; however, this may cause limited availability of certain features or functions. By creating an Account or otherwise entering your email and telephone contact information on any form on the Sites you expressly consent to receive marketing communications about our services at the email address and telephone number provided, which communications we may deliver via email, phone, and text messages, including using an automatic telephone dialing system and/or an artificial or prerecorded voice. You also certify that the provided number is your actual cell phone number and not that of anyone else. Your consent is not a condition of making any purchase or entering into a real estate transaction and you may revoke it at any time by replying "STOP" to any of our texts, unsubscribing from email communications using the unsubscribe link provided therein, or by emailing [email protected]. Standard message and data rates may apply.

You are responsible for any activity that occurs on your Account, regardless of whether such use was authorized by you. You must keep your login credentials confidential and safe from unauthorized use or disclosure.

By registering for an Account, you agree to be fully responsible for all activities that occur under your username and password. You understand you are prohibited from sharing your username and password with anyone, including other members of your household.

You are required to immediately and unambiguously inform i-Lead via the contact details set forth below of any suspicious or unauthorized use of your Account, or if you have reason to believe your Account credentials have been lost or stolen.

3. License and Restrictions

i-Lead hereby grants to you a limited, non-transferable, nonexclusive, revocable license to access and use the Sites, Service, and any information on the Sites or Service, including without limitation the text, photographs, drawings, graphics, software, audio, video, and other materials (collectively, the "Content") for your own personal purpose of buying, selling, or renting real property, assessing the real estate market, or other limited purposes expressly authorized by these Terms.

You may download a single copy of the Content for your sole personal and non-commercial use, provided that you do not remove or modify any copyright or other proprietary or intellectual property notices in the Content.

Except as authorized by i-Lead in writing, you understand and agree you shall not, and shall not allow any third-party to:

• a. copy, reproduce, host, frame, download, distribute modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties, or create derivative works from the Sites, Service, or Content;
• b. decompile, disassemble, deconstruct, or reverse engineer the Service;
• c. commercially exploit or use the Sites, Service, or Content to create a substantially similar product, service, or offering competitive products with the Sites or Service;
• d. use the Sites or Service to upload or distribute any Trojan horses, worms, bots, spiders, scrapers, or other malicious software, program, script, algorithm, or similar process;
• e. use the Sites or Service to send unsolicited bulk or commercial email ("spam"), junk mail, or other solicitous communications, or taking any action that imposes an unreasonable or disproportionately large load on the Sites' servers; or
• f. using the Sites, Service, or Content for any unlawful, obscene, defamatory, threatening, harassing, abusive, or otherwise objectionable purpose, as determined in i-Lead's sole discretion.

You may use the Sites only for lawful purposes and in accordance with these Terms. You agree not to use the Sites:

• In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
• To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms.
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate us, our employees, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Sites, or which, as determined by us, may harm us or users of the Sites, or expose them to liability.

Additionally, you agree not to:

• Use the Sites in any manner that could disable, overburden, damage, or impair the Sites or interfere with any other party's use of the Sites, including their ability to engage in real time activities through the Sites.
• Use any robot, spider, or other automatic device, process, or means to access the Sites for any purpose, including monitoring or copying any of the material on the Sites, including for the purposes of training any artificial intelligence model.
• Use any manual process to monitor or copy any of the material on the Sites, or for any other purpose not expressly authorized in these Terms, without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Sites.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Sites, the server on which the Sites are stored, or any server, computer, or database connected to the Sites.
• Attack the Sites via a denial-of-service attack or a distributed denial-of-service attack. Otherwise attempt to interfere with the proper working of the Sites.

With regard to any generative artificial intelligence tools provided on the Sites you must not:

• Perform or facilitate dangerous, illegal, or malicious activities, including
  • Facilitation or promotion of illegal activities or violations of law, such as
    • Promoting, generating, or attempting to generate content related to child sexual abuse or exploitation.
    • Promoting, generating, or attempting to generate material related to the sale of or providing instructions for the synthesizing or accessing illegal substances, goods, or services.
    • Facilitating or encouraging users or attempting to generate content related to criminal activity.
    • Promoting, generating, or attempting to generate content related to violent extremism or terrorist content.
  • Abuse, harm, interference, or disruption of services (or enable others to do the same), such as
    • Promoting or facilitating the generation or distribution of spam.
    • Generating, or attempting to generate, content for deceptive or fraudulent activities, scams, phishing, or malware.
  • Attempts to override or circumvent safety filters or intentionally drive the model to act in a manner that contravenes our policies.
  • Generation, or the attempted generation, of content that may harm or promote the harm of individuals or a group, such as
    • Generating or attempting to generate content that promotes or encourages hatred.
    • Facilitating methods of harassment or bullying to intimidate, abuse, or insult others.
    • Generating or attempting to generate content that facilitates, promotes, or incites violence.
    • Generating or attempting to generate content that facilitates, promotes, or encourages self-harm.
    • Generating or attempting to generate personal information for distribution or other harms.
    • Tracking or monitoring people without their consent.
    • Generating or attempting to generate content that may have unfair or adverse impacts on people, particularly impacts related to sensitive or protected characteristics.
• Generate and distribute, or any attempts thereto, content intended to misinform, misrepresent, or mislead, including
  • Misrepresentation of the provenance of generated content by claiming content was created by a human, or represent generated content as original works, in order to deceive.
  • Generation or the attempt to generate content that impersonates an individual (living or dead) without explicit disclosure, in order to deceive or without rights to do so.
  • Misleading claims of expertise or capability made particularly in sensitive areas (e.g. health, finance, government services, or legal).
  • Making automated decisions in domains that affect material or individual rights or well-being (e.g., finance, legal, employment, healthcare, housing, insurance, and social welfare).
• Generate sexually explicit content, including content created for the purposes of pornography or sexual gratification (e.g. sexual chatbots).

4. Fees

You may be required to pay fees to access certain features of the Service. All fees are in U.S. dollars and are non-refundable. If we change the fees for all or part of any of the services, including by adding fees or charges, we will provide you advance notice of those changes. If you do not accept the changes, we may discontinue providing the applicable part of the services to you. Our authorized third-party payment processors will charge the payment method you specified at the time of purchase or as agreed to as part of the selected service. You authorize us to charge all fees as described in these Terms of Use for the services you select to that payment method. If you pay any fees with a credit card, we may seek pre-authorization of your credit card account before your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.

• The Service may include features that allow for automatically recurring payments for periodic charges ("Subscription Service"). If you decide to activate a Subscription Service, you authorize us to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums. The subscription will continue unless and until you cancel your subscription, or we terminate it. You must cancel your Subscription Service before it renews in order to avoid billing of the next periodic subscription fee to your account. We will bill the periodic subscription fee to the payment method you provide to us during registration (or to a different payment method if you change your payment information). We may change the subscription fee for any subsequent subscription period but will provide you advance notice of any increase before it applies. Generally, you may cancel a Subscription Service through the settings page in your account, or by contacting us at [email protected].

5. User Content

The Sites may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, generative artificial intelligence tools, and other interactive features (collectively, "Interactive Services") that allow users to post, prompt, submit, publish, display, upload or transmit images, photos video, data tests, listings and other content to other users or other persons (hereinafter, "post") property search criteria, communications to your contacts, i-Lead, or our real estate team members, Account information, content or materials (collectively, "User Content") on or through the Sites.

All User Content must comply with the Content Standards (as defined below and set out in these Terms).

Any User Content you post to the Sites will be considered non-confidential and non-proprietary. By entering any User Content, you grant i-Lead an irrevocable, perpetual, royalty-free nonexclusive, worldwide license to use, copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, prepare derivative works of or incorporate into other works, and translate your User Content in accordance with our Privacy Policy, as may be amended from time to time (the "i-Lead Privacy Policy"), and for the purpose for which you provided the User Content or in any other media. i-Lead will not pay you for your User Content or to exercise any rights related to your User Content. i-lead may remove or modify your User Content at any time. You represent and warrant to i-Lead, and its affiliates and users that:

• a. you own your User Content or are authorized to provide the User Content to i-Lead;
• b. your User Content is true and accurate, to the best of your knowledge;
• c. your User Content will not infringe the proprietary or contract rights of any third-party;
• d. your User Content does not violate any applicable laws or these Terms; and
• e. your User Content does not include any unlawful, harassing, abusive, threatening, obscene, defamatory, false, or otherwise objectionable material, as determined in i-Lead's sole discretion.

You understand and acknowledge that you are responsible for any User Content you post, and you, not i-Lead, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Content posted by you or any other user of the Sites.

6. Liability for User Content

You are solely liable for User Content you upload, post, share, or provide, including without limitation any claims, damages, liabilities, or actions that result from your User Content. i-Lead shall have the right, but not the obligation, to remove, delete, block, disable, or correct User Content at its own discretion without notice or liability to you.

i-Lead has the right, but not the obligation, to review your User Content and to disable access to or remove any User Content that violates these Terms or applicable law without notice or liability to you. You may remove or edit your User Content at any time via your User Account. Additionally, we have the right to:

• Remove or refuse to post any User Content for any or no reason in our sole discretion.
• Take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Content violates the Terms, including the Content Standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Sites or the public, or could create liability for us.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any actual or suspected illegal or unauthorized use of the Sites.
• Terminate or suspend your access to all or part of the Sites for any or no reason, including without limitation, any violation of these Terms.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Sites.

YOU WAIVE AND HOLD HARMLESS I-LEAD AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we cannot and do not undertake to review all material before it is posted on the Sites and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

7. Content Standards

These content standards (the "Content Standards") apply to any and all User Content and use of Interactive Services. User Content must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Content must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination against any individual or class of individuals protected under federal, state or local laws without limitation based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy.
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

8. Feedback

Throughout your use of the Sites and/or Service, you may provide, or we may request, feedback, comments, reviews, or other information about your experience (collectively, the "Feedback"). Where you provide Feedback to us, you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use your Feedback for any purpose permitted by applicable law, including without limitation to publish, reproduce, display, transform, translate, market and use in any manner including without limitation to promotional materials, and create derivatives of your Feedback, without compensation to you. If your Feedback contains personal information about you, we will use it in accordance with our Privacy Policy.

9. Third-Party Resources

Through the Sites or the Service, you may have access to links, products, websites, software, content, or other external resources provided by third parties. You acknowledge and accept that third parties control those external resources. i-Lead has no control over and does not warrant or endorse such resources and is therefore not responsible for their function, content, accuracy, or availability. You use any external resources available through the Sites or Service at your own risk.

As part of our services, you may be connected with a real estate professional. You authorize us to make such referral and acknowledge that we may be paid valuable consideration for facilitating such connection. Also part of our services, you may be connected to a party that provides mortgage loan origination services, title and escrow services, or other settlement services.

If you choose to contact a bank, mortgage lender, financial institution, mortgage loan originator, loan broker, or other mortgage professional through our services by indicating your interest in contacting (or being contacted by) a Third-Party Provider (including requests for mortgage rate quotes) on the services, you authorize the i-Lead to provide the information you submit to the Third-Party Provider. If you include your name, contact information and other information in a request, your identity will no longer be anonymous to the Third-Party Provider. Your submission of information and any request for quotes through the services is not an application for credit. i-Lead is only providing an administrative service to consumers and participating Third-Party Providers. Loan approval standards are established and maintained solely by individual Third-Party Providers. Decisions in any transactions are made by Third-Party Providers and are not made by i-Lead. i-Lead is not responsible for the underwriting activities or credit decisions of any Third-Party Provider. Interest rates displayed through the Sites or services are for informational purposes only and reflect non-binding quotes of the terms a Third-Party Provider might offer an applicant fitting a consumer's anonymous profile. Actual interest rates may vary. Consumers should rely on their own judgment in deciding which available loan product, terms, and Third-Party Provider best suit their needs and financial means. i-Lead: (a) is not a Third-Party Provider, loan originator, loan processor or underwriter; (b) does not aid or assist applicants in obtaining loans, soliciting applicants or Third-Party Providers for loans, or offer or negotiate terms of applications or loans; (c) does not take mortgage applications, make loans or credit decisions, or prequalify or preapprove applicants for loans; (d) is not an agent of any Third-Party Provider; (e) does not endorse, refer, or recommend any Third-Party Provider that pays i-Lead, or the products of any Third-Party Provider that pays i-Lead; (f) is not responsible for any errors or delays caused by consumers or any Third-Party Provider in the loan process; and (g) does not guarantee offer of, or acceptance into, any particular loan program or specific loan terms, conditions, or rates with any Third-Party Provider, or that any rates or terms will be the best available.

Some of our services allow you to use Stripe to make payments and may include additional processing or application fees detailed when you choose to connect to Stripe. Your use of Stripe is subject to the Stripe Account Agreement. Additionally, by using Stripe, you agree not to use Stripe (and the services generally) for any Prohibited Business purposes.

10. Intellectual Property Rights

All title, interest, and intellectual property rights, including without limitation all copyrights, trademark rights, patent rights, trade secrets, right of publicity, and design rights, related to the Sites, the Content, or the Service and all data, software, programs, source code, algorithms, processes, documentation, and functionality contained within the Sites or Service, in all translations, media, and formats, are the exclusive property of i-Lead or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property. The Sites, Content, and Service cannot be copied, reproduced, altered, or modified without the express written consent of i-Lead.

You acknowledge you only receive a license to use the Sites, Content, and Service and do not acquire any interest in, and shall not claim any right to, the Sites, Content, or Service.

The i-Lead name, logo, and other marks, trade names, service marks, taglines, or logos (collectively, the "Trademarks") appearing in connection with the Sites or the Service are, and remain, the exclusive property of i-Lead or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property. You are prohibited from using the Trademarks to advertise your services, suggest i-Lead endorses or guarantees you or your business, or for any other purpose without the prior written consent of i-Lead.

11. Termination by You

You can stop using the Sites and Service at any time. If you wish to terminate your Account, contact i-Lead as set forth below.

12. Termination by i-Lead

i-Lead reserves the right, at its sole discretion, to alter, disable, suspend, discontinue or terminate your access to and use of the Sites and Service, and your Account at any time and without notice or liability. Upon termination of your access to the Sites and Service, you are prohibited from using any Content or other materials from the Sites or Service, including, but not limited to any copies, documents, or other downloads stored on your computer or device.

The suspension, termination or deletion of your Account due to your violation of these Terms or applicable law does not exempt you from paying any outstanding fees, if any, incurred prior to suspension or deletion of your account.

We may disclose information we have about you or your use of the Sites and/or Service to the proper authorities if: (a) you have breached these Terms, (b) you are in violation of applicable law, (c) necessary for any investigation or complaint about your use of the Sites or Service, or (d) if we determine it is necessary to protect the property or rights of i-Lead or users of the Sites or Service.

13. Service Interruption and Changes

i-Lead reserves the right to interrupt the availability of the Sites or Service for maintenance, system updates, or any other changes. Where possible, you will be notified in advance of the interruption.

i-Lead may alter, remove, suspend, disable, or terminate the Sites or Service, or portions of the Sites or Service, their Content, products, or other materials at any time without notice or obligation to you.

Additionally, the Sites or Service may be unavailable due to reasons outside i-Lead's reasonable control, such as "force majeure" events, including, but not limited to, labor actions, infrastructural breakdowns, blackouts, power failures, or telecommunication line failures.

14. Disclaimer of Warranties

THE SITES, SERVICE, AND CONTENT ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SITES AND SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, I-LEAD EXPRESSLY DISCLAIMS ALL CONDITIONS, REPRESENTATIONS, AND WARRANTIES WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTY OF ACCURACY, AVAILABILITY, WORKMAN LIKE EFFORT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. I-LEAD DISCLAIMS ANY WARRANTIES THAT THE CONTENT OR SERVICE WILL BE ACCURATE, CURRENT, COMPLETE, OR ERROR-FREE, OR THAT TRANSMISSION TO OR FROM THE SITES WILL BE UNINTERRUPTED.

WITHOUT LIMITING THE FOREGOING, I-LEAD, ITS OWNERS, MEMBERS, AFFILIATES, LICENSORS, OFFICERS, DIRECTORS, AGENTS, PARTNERS, SUPPLIERS, AND EMPLOYEES DO NOT WARRANT THAT (A) THE CONTENT IS ACCURATE, RELIABLE, CURRENT, COMPLETE, OR CORRECT; (B) THE SERVICE WILL MEET YOUR REQUIREMENTS; (C) THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; (D) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (E) THE SERVICE WILL OPERATE ON A PARTICULAR HARDWARE OR SOFTWARE CONFIGURATION; OR (F) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU SHALL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR USE OF THE SERVICE.

I-LEAD DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD-PARTY THROUGH THE SERVICE OR ANY HYPERLINKED SITE OR SERVICE, AND I-LEAD SHALL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

FEDERAL LAW, SOME STATES, AND OTHER JURISDICTIONS, DO NOT ALLOW THE EXCLUSION AND LIMITATIONS OF CERTAIN IMPLIED WARRANTIES. THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THE DISCLAIMERS AND EXCLUSIONS UNDER THIS AGREEMENT SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

15. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL I-LEAD, AND ITS OWNERS, MEMBERS, AFFILIATES, OFFICERS, DIRECTORS, LICENSORS, AGENTS, PARTNERS, SUPPLIERS, AND EMPLOYEES BE LIABLE FOR: (A) ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, COST OF SUBSTITUTE SERVICE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE; (B) THE ACTIONS OR OMISSIONS OF ANY THIRD-PARTY, INCLUDING WITHOUT LIMITATION ANY SERVICE PROVIDER OR USER; (C) ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (D) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ACCESS TO OR USE OF THE SERVICE; (E) ANY DELAY, INTERRUPTION, OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (F) ANY BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR HARMFUL CODE OR PROCESS THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE; OR (G) ANY USER CONTENT.

IN NO EVENT SHALL I-LEAD AND ITS OWNERS, MEMBERS, AFFILIATES, OFFICERS, DIRECTORS, LICENSORS, AGENTS, PARTNERS, SUPPLIERS AND EMPLOYEES BE LIABLE FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AMOUNT EXCEEDING THE AMOUNT PAID BY YOU TO I-LEAD HEREUNDER IN THE PRECEDING TWELVE (12) MONTHS, OR THE PERIOD OF DURATION OF THESE TERMS BETWEEN I-LEAD AND YOU, WHICHEVER IS SHORTER. THIS LIMITATION OF LIABILITY SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF I-LEAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES; THEREFORE, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

16. Indemnification

You agree to defend, indemnify, and hold i-Lead and its owners, members, affiliates, officers, directors, licensors, agents, partners, suppliers and employees harmless from and against any and all claims or demands, damages, obligations, losses, liabilities, costs, and expenses, including, but not limited to, legal fees and expenses, arising from or related to: (a) your use of the Sites, Content, and/or Service; (b) your violation of these Terms, including, but not limited to, your breach of any of the representations and warranties set forth in these Terms; (c) your violation of any third-party rights, including, but not limited to, any right of privacy or intellectual property rights; (d) your violation of any statutory law, rule, or regulation; (e) your User Content or Account information, including, but not limited to, misleading, false, inaccurate, or infringing information; (f) your willful misconduct; or (g) unauthorized access to the Sites or Service that results from sharing or disclosing your username and password. i-Lead reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in that case, you agree to cooperate with i-Lead's defense of that claim.

17. No Professional Advice

The Sites and Service are provided for information purposes only and do not constitute legal, accounting, tax, employment, real estate, or other professional advice. You should engage the services of qualified professionals prior to making any decisions based on the Sites, Service, or Content.

18. Arbitration; Class Action Waiver

YOU AGREE THAT ALL DISPUTES BETWEEN YOU AND I-LEAD ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE SITES OR SERVICE, YOUR RIGHTS OF PRIVACY, OR OUR RELATIONSHIP WILL BE RESOLVED BY BINDING ARBITRATION. Arbitration shall be conducted by the American Arbitration Association (AAA) in conjunction with its Consumer Arbitration Rules. YOU HEREBY EXPRESSLY AND KNOWINGLY WAIVE YOUR RIGHT TO FILE A LAWSUIT IN COURT OR HAVE A TRIAL BY JURY. Arbitration shall be conducted in Tarrant County, Texas by a single arbitrator. Any cause of action you may have under these Terms must be commenced within one (1) year after the claim or cause of action arises. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. Each of us shall be responsible for the costs of our own legal counsel at the arbitration.

Either you or i-Lead may start arbitration at any time. You and i-Lead agree to first send a notice of the dispute, to i-Lead at the address set forth below, or to you at your address on file with i-Lead, by certified mail or reputable courier. The notice must include the party's contact information and the details of the dispute. We will attempt to resolve the dispute in good faith without the need for arbitration. If we are unable to resolve the dispute within thirty (30) days of receipt of the notice, either of us may start arbitration by filing a case with the AAA.

Nothing in this section shall limit i-Lead's right to seek alternative remedies, including without limitation, injunctive relief in a court of law.

Class Action Waiver

By accessing and using the Sites and/or Service, you agree any claims you bring against i-Lead will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION FOR ANY CLAIMS COVERED BY THIS AGREEMENT TO ARBITRATE.

If a court rules that this class action waiver is void or unenforceable for any reason, or that an arbitration can proceed as a class action, then the arbitration provision set forth above shall be deemed null and void in its entirety and the dispute shall be brought in the federal or state courts in Tarrant County, Texas.

YOU UNDERSTAND THAT IN THE ABSENCE OF THIS SECTION, YOU WOULD HAVE HAD A RIGHT TO LITIGATE THROUGH A COURT, TO HAVE A JUDGE OR JURY DECIDE YOUR CASE, AND TO BE A PARTY TO A CLASS OR REPRESENTATIVE ACTION. YOU EXPRESSLY AGREE TO HAVE ANY CLAIMS DECIDED INDIVIDUALLY, THROUGH ARBITRATION.

Small Claims Court

This agreement to arbitrate does not preclude you from resolving any disputes that meet the jurisdictional requirements for small claims court in such court.

19. Claims of Copyright Infringement (Digital Millennium Copyright Act)

i-Lead respects the intellectual property rights of others. We comply with the applicable provisions of the Digital Millennium Copyright Act (DMCA) (17 U.S.C. § 512, as amended). It is our policy to respond expeditiously to any notice that any content posted on our Sites infringes the copyright rights of others. All claims of copyright infringement will be investigated and appropriate action will be taken, including but not limited to removal of the infringing content and termination of user access, if applicable. If you believe any information posted on our Site or contained in the Service violates your copyright rights, send a notice by providing the following information:

• a) Identification of the copyrighted work that you claim has been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at the site;
• b) Identification of the material that you claim is infringing and needs to be removed, including a description of where it is located so that the copyright agent can locate it;
• c) Your address, telephone number, and, if available, e-mail address, so that the copyright agent may contact you about your complaint; and
• d) A signed statement that the above information is accurate; that you have a good faith belief that the identified use of the material is not authorized by the copyright owner, its agent, or the law; and, under penalty of perjury, that you are the copyright owner or are authorized to act on the copyright owner's behalf in this situation.

If you give notice of copyright infringement by e-mail, an agent may begin investigating the alleged copyright infringement; however, we must receive your signed statement by mail or as an attachment to your e-mail before we are required to take any action.

Upon obtaining such knowledge we will act expeditiously to remove, or disable access to, the material. Please be aware that there are substantial penalties for false claims.

20. Accessibility

i-Lead is committed to making the Sites and Service accessible for all to use. We have taken steps and regularly assess the Sites and Service to achieve compliance with generally recognized and accepted standards for accessibility. 21. Governing Law; Venue

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas without giving effect to any choice or conflict of law provision or rule. You agree to submit to the personal and exclusive jurisdiction and venue in the state and federal courts sitting in Tarrant County, Texas for all disputes, claims and actions arising from or in connection with the Sites and/or Service or otherwise under these Terms and Conditions.

22. Privacy Policy

We may collect, use, store and disclose personal information we receive about you through your use of the Sites or Service, as described in the i-Lead Privacy Policy which is hereby incorporated into and made a part of these Terms by reference. 23. Changes to these Terms

i-Lead reserves the right to amend or otherwise modify these Terms at any time in its sole discretion on a going-forward basis and we will make commercially reasonable efforts to notify you of changes to these Terms. Those changes will become effective as of the date the new Terms are posted.

Your continued use of the Sites and/or Service after any change will signify your acceptance of the revised Terms. You further waive any right you may have to receive specific notice of such changes to these Terms and Conditions. If you do not wish to be bound by the changes, you must immediately stop using the Sites and Service. You are responsible for regularly reviewing these Terms and Conditions.

24. General Provisions

i-Lead's failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision. i-Lead reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms without prior notice to you. You may not assign or transfer your rights or obligations under these Terms in any way, without the written permission of i-Lead. Nothing in these Terms creates a joint venture, partnership, employment, beneficiary, or agency relationship between you and i-Lead. Should any provision of these Terms be deemed or become invalid or unenforceable under applicable law, the invalidity or unenforceability of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. These Terms may only be modified by i-Lead in writing. These Terms, the i-Lead Privacy Policy, and any other i-Lead policy constitute the entire Agreement between you and i-Lead with respect to the subject matter hereof. These Terms will be enforced to the fullest extent permitted by law.

25. Electronic Signature

You acknowledge and understand that the affirmative act of using the Sites or Service or clicking to accept these Terms signifies your electronic signature to these Terms, and your electronic signature creates a legally binding agreement. You acknowledge other legal documents available through the Sites and/or Service may also be executed electronically and you consent to providing your signature electronically and agree to be bound by the terms and conditions of those documents.

26. Consent to Communications

By using the Service, you consent to receiving certain electronic communications from us as further described in the Privacy Policy. Please read our Privacy Policy to learn more. You agree that any notices, agreements, disclosures, surveys, or other communications that we send to you electronically will satisfy any legal communication requirements, including that those communications be in writing.

The Service may provide web forms, links, or contact information, including phone numbers, that can connect you with the i-Lead affiliates or third parties, such as team members or real estate agents and Third-Party Providers. Communications through these methods may be routed through a third-party service ("Communications Service"). Calls may be recorded or monitored for quality assurance, training, or customer service purposes. You may be notified at the beginning of a call if it may be recorded or monitored. You consent to such recording and monitoring by i-Lead Realty Group or the Communications Service. We also use the Communications Service to track phone calls and text messages between you and real estate professionals so that we and the real estate professional can access certain details about the contact. As part of this process, we and the Communications Service will receive in real time, and store, data about your call or text message, including the date and time of the call or text message, your phone number, and the content of the text message. You consent to these practices by us and the Communications Service. The information is subject to the Privacy Policy.
